By using the api.talis.com, directory.talis.com or schemas.talis.com web sites ("Talis Platform Services"), all services of Talis Information Ltd. ("Talis"), you are agreeing to be bound by the following terms and conditions ("Terms").
Talis reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Talis Platform Services, including the release of new tools and resources, shall be subject to these Terms. Continued use of the Talis Platform Services after any such changes shall constitute your consent to such changes. Service Terms
Any use of the Talis Platform Services, including use of the Talis Platform Services through a third-party product that accesses the Talis Platform, is bound by the terms of this agreement plus the following specific terms:
1. You expressly understand and agree that Talis shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Talis has been advised of the possibility of such damages), resulting from your use of the Talis Platform Services or third-party products that access data via the Service.
2. Abuse or excessively frequent requests to the Talis Platform Services may result in the temporary or permanent suspension of your access. Talis, in its sole discretion, will determine abuse or excessive usage of the Talis Platform Services. Talis will make a reasonable attempt to warn you prior to suspension.
3. Talis reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the Talis Platform Services (or any part thereof) with or without notice. Registration
As a condition to using certain Talis Platform Services, You may be required to register with Talis. You shall provide Talis with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of Your account.
You are responsible for maintaining the confidentiality of Your password and account and are fully responsible for all activities that occur under Your password or account. You agree to (a) immediately notify Talis of any unauthorized use of Your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session.
Indemnity
You agree to indemnify and hold Talis and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content or Data you submit, post, transmit or otherwise make available through the Talis Platform, Your use of the Talis Platform, your connection to the Talis Platform, your violation of these Terms, or Your infringement, or any third party using the Your account, of any intellectual property or other right of any person or entity. TALIS PROVIDES THE TALIS PLATFORM SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. TALIS SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, INFORMATION ACCURACY, INTEGRATION, INTEROPERABILITY OR QUIET ENJOYMENT.
You understand and agree that you use the Site and Services at your own discretion and risk and that you will be solely responsible for any damages that arise from such use. UNDER NO CIRCUMSTANCES SHALL TALIS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, OR ANY OTHER DAMAGES WHATSOEVER (HOWEVER ARISING, INCLUDING BY NEGLIGENCE), INCLUDING WITHOUT LIMITATION, DAMAGES RELATED TO USE, MISUSE, RELIANCE ON, INABILITY TO USE AND INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SITE OR SERVICES, DAMAGES INCURRED THROUGH ANY LINKS PROVIDED ON THE SITE AND THE NONPERFORMANCE THEREOF AND DAMAGES RESULTING FROM LOSS OF USE, SALES, DATA, GOODWILL OR PROFITS, WHETHER OR NOT TALIS HAS BEEN ADVISED OF SUCH POSSIBILITY. YOUR ONLY RIGHT WITH RESPECT TO ANY DISSATISFACTION WITH THIS SITE OR SERVICES OR WITH TALIS SHALL BE TO TERMINATE USE OF TALIS PLATFORM SERVICES. Other
Talis and You are independent entities, and nothing in these Terms, or via use of the Talis Platform Services, will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between Talis and You.
These Terms supersede any previous agreement and represents the entire agreement between Talis and You. The Terms are governed by the laws of England and Wales and the parties irrevocably submit to the exclusive jurisdiction of the Courts of England and Wales. If any provision of these Terms shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of these Terms is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
